Please read these Terms of Service carefully before using the services provided by GrovAlt Advisors Pvt. Ltd. (CIN: UXXXXXMH2012PTCXXXXXX), a company incorporated under the Companies Act, 2013 and registered as a distributor with SEBI.

1. Acceptance of Terms

By accessing or using the GrovAlt Advisors Pvt. Ltd. website and services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use our Services. These Terms apply to all visitors, registered users, and clients of GrovAlt.

GrovAlt is a SEBI-registered distributor (Reg. No. INP000XXXXX), not a portfolio manager or investment adviser. Our Services consist of distributing investment products from third-party SEBI-regulated portfolio managers and AIF managers. Any information provided on this website is for general informational purposes only and does not constitute investment advice, a solicitation, or an offer to buy or sell any security.

3. Eligibility

Our Services are available only to individuals who are: (a) residents of India; (b) at least 18 years of age; (c) legally capable of entering into binding contracts under applicable Indian law. Certain products (such as AIFs) are available only to "Accredited Investors" as defined by SEBI. By using our Services, you represent that you meet all applicable eligibility criteria.

4. Investment Risks

5. Client Obligations

As a client or user of our Services, you agree to: (a) provide accurate, complete, and up-to-date information as required for KYC and regulatory compliance; (b) maintain the confidentiality of your login credentials; (c) promptly notify us of any unauthorised access to your account; (d) use our Services only for lawful purposes and in accordance with applicable Indian law; (e) not attempt to circumvent or manipulate our systems.

6. Fees and Charges

GrovAlt receives distributor commissions and trail fees from product manufacturers for the products it distributes. These fees are disclosed in our Commission Disclosure Statement, available in the Downloads section. By using our Services, you acknowledge and consent to this fee structure. We do not charge direct advisory fees unless separately agreed in writing.

7. Intellectual Property

All content on the GrovAlt website, including text, graphics, logos, and software, is the proprietary property of GrovAlt Advisors Pvt. Ltd. or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, modify, or create derivative works without prior written consent from GrovAlt.

8. Limitation of Liability

To the maximum extent permitted by applicable law, GrovAlt shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our Services or any investment made through our platform. Our total liability for any claim arising out of or related to these Terms shall not exceed the distributor fees received by GrovAlt in the three months preceding the claim.

9. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of India. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of courts in Mumbai, Maharashtra. Before initiating legal proceedings, parties agree to attempt resolution through good-faith negotiation for a period of 30 days.

10. Amendments

GrovAlt reserves the right to modify these Terms at any time. Material changes will be communicated via email or a prominent notice on our website. Your continued use of our Services after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must discontinue use of our Services.
